Splošni pogoji poslovanja za storitve organizacije BRAVOBAJTA

Ti splošni pogoji poslovanja (“Pogoji”) urejajo opravljanje storitev s strani podjetja BravoBajta (“Ponudnik”) za poslovne stranke (“Stranka”). S potrditvijo angažmaja Stranka soglaša s temi Pogoji.

1. Obseg storitev

Ponudnik nudi profesionalne storitve na področjih dogodkov, umetnosti, zabavne industrije in človeško usmerjenega svetovanja, vključno, a ne omejeno na razvoj konceptov, izvedbo, koordinacijo in stalno ali projektno podporo.

Natančen obseg storitev je določen za vsak posamezen angažma in potrjen v pisni obliki (elektronska pošta, ponudba ali pogodba).

2. Paketi storitev in cene

Storitev ponujamo v naslednjih standardnih paketih. Cene so navedene v EUR in ne vključujejo DDV, razen če ni drugače določeno.

One-Off — 5.000 EUR

Enkraten angažma za en dogodek.
Preprost format, trajanje do 2 ur.

Planned — 15.000 EUR

Razširjen angažma z vnaprejšnjim načrtovanjem.
Dolgotrajna izvedba dogodka, 10 ur ali več.

Committed — 25.000 EUR

Visoka vključenost v večdnevni format.
Običajno dvodnevni dogodek s stalnim nadzorom.

Retained — po dogovoru

Celovito prevzemanje odgovornosti za človeško podporo in svetovanje.
Stalno partnerstvo z rezervirano kapaciteto in prioritetno obravnavo.

3. Retainer paketi

Retainer angažmaji vključujejo stalno sodelovanje in zagotavljajo:

  • rezervirano razpoložljivost in kapaciteto,

  • prioritetno planiranje,

  • neprekinjeno vključenost v projekte,

  • strateško in operativno podporo po dogovoru.

Če ni drugače dogovorjeno, se retainer paketi sklenejo za določen čas in samodejno podaljšajo, razen če niso odpovedani s pisnim obvestilom vsaj 30 dni pred koncem obdobja.

4. Rezervacije in potrditve

Angažma se šteje za potrjen, ko pride do enega od naslednjih dogodkov:

  • pisna potrditev Stranke (elektronska pošta je dovolj),

  • plačilo računa ali avansa,

  • podpis posebne pogodbe o storitvah.

Ponudnik lahko zavrne ali prestavi angažma, če obveznosti potrditve ali plačila niso izpolnjene.

5. Pogoji plačila

Če ni drugače dogovorjeno:

  • One-Off, Planned in Committed angažmaji se zaračunajo po projekt

  • Retainer paketi se zaračunajo po dogovorjenem razporedu (mesečno, četrtletno ali letno).

Rok plačila je 7 dni od datuma računa. Zamude pri plačilu lahko povzročijo začasno ustavitev storitev.

6. Odpovedi in spremembe

Projektni angažmaji

  • Odpovedi manj kot 14 dni pred začetkom lahko pomenijo strošek do 100 % dogovorjene cene.

  • Spremembe obsega, trajanja ali pogojev lahko vplivajo na ceno.

Retainer angažmaji

  • Prezgodnja odpoved s strani Stranke ne odpravlja že nastalih obveznosti.

  • Ponudnik si pridržuje pravico do prekinitve retainer angažmaja z razumnim obvestilom, če sodelovanje postane nevzdržno ali če Stranka ne izpolni plačilnih obveznosti.

7. Obveznosti Stranke

Stranka se zavezuje, da bo:

  • zagotovila točne in pravočasne informacije,

  • omogočila dostop do ustreznega osebja, lokacij in odločevalcev,

  • delovala v dobri veri in spoštovala strokovno avtonomijo Ponudnika.

Zamude ali neuspehi, ki jih povzroči Stranka, lahko vplivajo na roke, rezultate in ceno.

8. Intelektualna lastnina

Če ni drugače dogovorjeno:

  • Koncepti, metodologije in materiali Ponudnika ostanejo intelektualna lastnina Ponudnika. To vključuje, vendar ni omejeno na uporabo kakršnih koli vizualij za promocijske namene, trženje in osebno uporabo. To vključuje uporabo vizualij na spletnih mestih, tiskanih materialih, družbenih medijih in promocijskem materialu. Naročnik daje organizaciji in njenim avtorjem neomejeno pravico do uporabe in spreminjanja gradiva v komercialne, promocijske, tržne, tekmovalne ali druge namene brez nadomestila, ter s tem odvezuje sebe in odvezuje organizacijo BravoBajta vseh zahtevkov ali odgovornosti, ki izhajajo iz ali so povezane z uporabo materiala, razen če ni dogovorjeno drugače.

  • Stranka pridobi neekskluzivno pravico do uporabe dostavljenih, materialov za dogovorjeni namen z navedbo organizacije BravoBajta in/ali povezav do spletnega mesta (www.bravobajta.com),

  • Vizualij, ki jih nudi BravoBajta, ni mogoče spreminjati, obrezati, popačiti ali kakor koli drugače vplivati nanje. Naročnik mora od organizacije BravoBajta pridobiti pisno dovoljenje pred prodajo ali objavo katerega koli gradiva zaradi finančne koristi.

  • BravoBajta se zavezuje spoštovati standarde varstva človekovih pravic in vrednostne standarde varstva osebnostnih pravic in pietete posameznikov.

9. Odgovornost

Ponudnik izvaja storitve s profesionalno skrbnostjo.
Kljub temu Ponudnik ne odgovarja za:

  • posredne ali posledične škode,

  • poslovne izgube, izgubo dobička ali ugleda,

  • rezultate, odvisne od tretjih oseb, udeležencev ali zunanjih okoliščin.

Skupna odgovornost je omejena na znesek, plačan Ponudniku za posamezni angažma.

10. Zaupnost

Obe strani se zavezujeta, da bosta zaupale vse ne-javne informacije, pridobljene med angažmajem, razen če razkritje zahteva zakon.

11. Pravo in pristojnost

Te Pogoje urejajo zakoni Republike Slovenije.

Za mednarodne Stranke si Ponudnik pridržuje pravico do pisnega dogovora glede arbitraže ali pristojnosti sodišč. V odsotnosti dogovora imajo pristojnost slovenska sodišča.

12. Končne določbe

Če se katera določba Pogojev izkaže za neveljavno, ostale določbe ostanejo v veljavi.

Ponudnik si pridržuje pravico do posodobitve Pogojev. Veljavna verzija je tista, ki je aktualna ob potrditvi angažmaja.

General Terms and Conditions for Services Provided by BRAVOBAJTA

These General Terms and Conditions for Services (“Terms”) govern the provision of services by BravoBajta (“Provider”) to business clients (“Client”). By confirming an engagement, the Client accepts these Terms.

1. Scope of Services

The Provider offers professional services in the fields of events, arts, entertainment, and human-focused advisory services, including but not limited to concept development, execution, coordination, and ongoing or project-based support.

The specific scope of services shall be defined for each engagement and confirmed in writing (email, proposal, or contract).

2. Service Packages and Pricing

Services are offered in the following standard packages. Prices are listed in EUR and exclude VAT unless otherwise specified.

One-Off — 5,000 EUR
Single engagement for one event. Simple format, duration up to 2 hours.

Planned — 15,000 EUR
Extended engagement with advance planning. Long-form event execution, 10 hours or more.

Committed — 25,000 EUR
High-level involvement in multi-day format. Typically a two-day event with continuous oversight.

Retained — upon agreement
Comprehensive responsibility for human support and advisory services. Ongoing partnership with reserved capacity and priority access.

3. Retainer Packages

Retainer engagements include ongoing collaboration and ensure:

  • reserved availability and capacity,

  • priority planning,

  • continuous project involvement,

  • strategic and operational support as agreed.

Unless otherwise agreed, retainers are entered into for a defined term and renew automatically unless terminated with at least 30 days’ written notice prior to the end of the term.

4. Bookings and Confirmations

An engagement is considered confirmed upon the occurrence of any of the following:

  • written confirmation by the Client (email is sufficient),

  • invoice or advance payment,

  • execution of a specific service agreement.

The Provider may decline or postpone an engagement if confirmation or payment obligations are not fulfilled.

5. Payment Terms

Unless otherwise agreed:

  • One-Off, Planned, and Committed engagements are invoiced per project.

  • Retainer packages are invoiced according to an agreed schedule (monthly, quarterly, or annually).

Payment terms are 7 days from invoice date. Payment delays may result in temporary suspension of services.

6. Cancellations and Changes

Project-based engagements:
Cancellations less than 14 days before commencement may incur up to 100% of the agreed fee.
Changes to scope, duration, or conditions may affect pricing.

Retainer engagements:
Early termination by the Client does not remove already incurred obligations.
The Provider reserves the right to terminate a retainer with reasonable notice if cooperation becomes untenable or if the Client fails to meet payment obligations.

7. Client Responsibilities

The Client agrees to:

  • provide accurate and timely information,

  • grant access to relevant personnel, locations, and decision-makers,

  • act in good faith and respect the Provider's professional autonomy.

Delays or failures caused by the Client may affect timelines, outcomes, and pricing.

8. Intellectual Property

Unless otherwise agreed:

The Provider’s concepts, methodologies, and materials remain the intellectual property of the Provider. This includes but is not limited to the use of visuals for promotional, marketing, and personal purposes. Such use includes publication across websites, printed materials, social media, and promotional content.

The Client grants the Provider and its authors an unlimited right to use and modify materials for commercial, promotional, marketing, competitive, or other purposes without remuneration, and releases both the Client and BravoBajta from any claims or liability arising from such use, unless agreed otherwise.

The Client acquires a non-exclusive right to use the delivered materials for the agreed purpose with attribution to BravoBajta and/or appropriate website references (www.bravobajta.com).

Visual materials provided by BravoBajta may not be altered, cropped, distorted, or otherwise modified. The Client must obtain written permission from BravoBajta prior to selling or publishing any materials for monetary gain.

BravoBajta commits to respecting human rights, personal dignity standards, and protection of individual integrity.

9. Liability

The Provider performs services with professional care. However, the Provider shall not be liable for:

  • indirect or consequential damages,

  • business losses, loss of profit, or loss of reputation,

  • outcomes dependent on third parties, participants, or external circumstances.

Aggregate liability is limited to the amount paid to the Provider for the specific engagement.

10. Confidentiality

Both parties shall treat as confidential all non-public information obtained during the engagement, unless disclosure is required by law.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Slovenia.

For international Clients, the Provider reserves the right to agree in writing on arbitration or court jurisdiction. In the absence of such agreement, Slovenian courts shall have jurisdiction.

12. Final Provisions

If any provision of these Terms is found invalid, the remaining provisions shall remain in force.

The Provider reserves the right to update these Terms. The version valid at the time of engagement confirmation shall apply.
